Terms And Conditions
Last updated: 4 November 2026
1. About these terms
These terms and conditions apply to your use of ukdigitalpartners.com and to all services provided by UK Digital Partners, 61 Bridge Street, Kington, HR5 3DJ, United Kingdom (company number 17002981) ("we", "us", "our") to you, our client ("you").
Our Refund & Cancellation Policy and Privacy Policy form part of these terms. If anything in your written quote or proposal differs from these terms, the quote or proposal applies for that project.
2. Using our website
- We aim to keep our website accurate and up to date, but information on it, including package prices, is for general guidance only and is not an offer.
- The content, design and branding of our website belong to us or our licensors and may not be copied without our permission.
- Links to other websites are provided for convenience. We are not responsible for their content.
3. Quotes and how a contract is formed
- Quotes are based on the information you give us and are valid for 30 days unless stated otherwise.
- A contract is formed when you accept our quote or proposal in writing (including by email or WhatsApp) or pay a deposit, whichever happens first.
- The agreed scope of work is the scope set out in your quote or proposal. Anything outside it is additional work.
4. Prices and payment
- Prices are as shown in your quote. Package ranges shown on our website are indicative and final pricing depends on scope, platform, functionality and content.
- Most projects require a deposit before work begins. Larger projects may be invoiced in stages.
- Invoices must be paid by the due date shown on the invoice. We may pause work or withhold delivery of files while any invoice is overdue.
- Third-party costs such as domains, hosting, themes, plugins, stock assets, software licences, app store fees and advertising spend are charged separately unless your quote says otherwise.
5. Your responsibilities
- You agree to provide the content, information, feedback, logins and approvals we need, accurately and on time.
- You confirm that you own, or have permission to use, any text, images, logos and other materials you give us, and that our use of them for your project will not infringe anyone else's rights.
- Delays in providing what we need may delay delivery. If we do not receive what we need within 30 days of asking, we may close the project as set out in our Refund & Cancellation Policy.
6. Designs, revisions and approval
- We will share designs, drafts and work in progress with you for feedback. Your quote sets out how many rounds of revisions are included.
- "Approval" means you confirm a design, draft, mock-up, milestone, content, campaign or final delivery in writing (including by email, WhatsApp or our project portal) or by paying the next invoice.
- Once a design or stage has been approved, further changes to it are treated as additional work and may be charged separately.
7. Refunds and cancellation
No refunds are applicable after initial design approval. Because our services are bespoke, once you have approved the initial design for your project, the payments made are non-refundable, including deposits and any stage payments already made.
- Before work starts, you may cancel in writing for a full refund.
- Once work has started, your deposit is non-refundable, and any other refund before initial design approval is assessed as set out in our Refund & Cancellation Policy.
- Monthly and retainer services, such as SEO, digital marketing and social media management, can be cancelled with 30 days' written notice. Months already started or paid for are not refunded.
If you are a consumer buying for personal use, you also have a legal right to cancel within 14 days, as explained in our Refund & Cancellation Policy. Nothing in these terms affects your statutory rights.
8. Ownership and intellectual property
- When you have paid in full for a project, ownership of the final approved designs, content and code we created specifically for you transfers to you.
- Until full payment is received, all work remains our property and you may only use it with our permission.
- We keep ownership of our own tools, frameworks, code libraries and know-how used to create your project, and grant you a licence to use them as part of your delivered work.
- Third-party items such as fonts, plugins, themes and stock images are subject to their own licence terms.
- Unless you ask us not to, we may show your completed project in our portfolio and marketing.
9. Results from marketing and SEO
Search rankings, traffic, followers, leads and sales depend on many factors outside our control, including search engine and platform changes and competitor activity. We will carry out our services with reasonable care and skill, but we do not guarantee specific results.
10. Hosting, third-party services and your accounts
Where your project relies on third-party services such as hosting, domains, plugins, payment gateways, app stores or advertising platforms, those services are provided under their own terms. We are not responsible for their availability, changes or failures. You are responsible for keeping your account logins secure and for renewing services you own.
11. Confidentiality and data protection
We will keep your confidential business information private and only use it to deliver your project. We handle personal information in line with our Privacy Policy and UK data protection law.
12. Our liability
- Our total liability to you for any claim relating to a project is limited to the amount you have paid us for that project or, for retainer services, the fees paid in the three months before the claim.
- We are not liable for loss of profits, revenue, business, data or goodwill, or for any indirect or consequential loss.
- Nothing in these terms limits our liability for death or personal injury caused by our negligence, for fraud, or for anything else that cannot be limited by law.
13. Ending a project
Either of us may end a project by written notice if the other seriously breaches these terms and does not put it right within 14 days of being asked. If a project ends, you must pay for work carried out up to that date, in line with section 7 and our Refund & Cancellation Policy.
14. Changes to these terms
We may update these terms from time to time. The version in force when you accepted your quote applies to your project.
15. Governing law
These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction. If you are a consumer living in Scotland or Northern Ireland, you may also bring proceedings in your local courts.
